Ensure compliance with corporate laws, regulations, and stock exchange requirements (if listed).
Organize and prepare agendas, papers, and minutes for Board of Directors and shareholders meetings.
Maintain statutory registers, records, and filings with regulators.
Advise the Board on corporate governance best practices.
Board & Shareholder Support.
Act as a liaison between the Board, management, and shareholders.
Facilitate communication and ensure timely distribution of materials for board decision-making.
Coordinate annual general meetings (AGMs) and extraordinary general meetings (EGMs).
Investor Relations.
Develop and maintain relationships with shareholders, analysts, and investors.
Prepare and deliver accurate, transparent, and timely reports, press releases, and investor updates.
Support the preparation of investor presentations, financial disclosures, and communication materials.
Monitor market trends, shareholder sentiment, and investor feedback to provide insights to management.
Advisory Role.
Provide guidance to directors and senior executives on corporate governance, legal, and regulatory obligations.
Support the company in strategic decision-making with respect to compliance and investor expectations.
Qualifications & SkillsBachelor s degree in Law, Business Administration, Finance, or related field (Master s degree or ICSA/CGI certification is a plus).
Minimum 7-10 years of relevant experience in corporate secretarial roles, legal, governance, or investor relations.
Strong knowledge of corporate law, company regulations, and securities exchange rules.
Excellent communication and presentation skills, with the ability to engage effectively with board members, regulators, and investors.
Strong analytical, problem-solving, and organizational skills.
Ability to handle confidential information with integrity and discretion.
Bilingual proficiency (e.g., Thai & English) preferred, especially for listed companies with international investors.
